Board of Directors
Chris Sugden, Chairman of the Board & Partner, Edison Ventures
Chris Sugden is a partner at Edison Ventures, a leading venture fund in the Mid-Atlantic region (www.edisonventures.com). He leads Edison's Financial Services and e-Commerce practices, as well as the fund's investment team focused on the New York region. He is also a member of the New Jersey investment team. In his various roles, Sugden identifies and evaluates new investment opportunities; advises existing portfolio companies; and frequently speaks at seminars, tradeshows and industry events.

As an IPP board member, Sugden provides strategic financial, sales and marketing expertise. His background as a general manager in several emerging companies brings a practical perspective to board meetings and builds on his considerable experience in finance, capital raising, strategy, product management and sales and marketing. In 2004, Chris was named by NJBIZ to the "40 under 40" list.

Prior to joining Edison, Sugden served as Princeton eCom's Executive Vice President of the Electronic Billing Division and as Chief Financial Officer, where he led the business development, finance and accounting departments. Princeton eCom raised over $80M in venture capital and increased revenues by more than 400%. In 2001, the New Jersey Technology Council named Princeton eCom the Internet, e-Business and Multimedia Company of the Year.

Earlier in his career, Sugden was Director of Finance and Operations for two magazine start-ups and Internet businesses funded by Freedom Communications. Sugden also spent over four years with PricewaterhouseCoopers in the entrepreneurial services group. He is a Certified Public Accountant and a member of the American Institute of Certified Public Accountants and the Massachusetts Society of CPAs.

Manu Rana, Managing Director, Old Lane, LP
Manu Rana, Managing Director of Old Lane, oversees the firm's negotiated investments, focusing in particular on financial services businesses. Prior to joining Old Lane in 2007, Rana was Managing Director at Lazard Alternative Investments, where he was responsible for equity and debt investments in financial- services businesses and information services investments.

Mr. Rana received a Bachelor of Arts degree from Columbia University.

Marc Cole, Partner Hamilton Investment Partners, LLC
A co-founder of Hamilton Investment Partners, LLC (www.hamiltoninvestment.com), Marc Cole evaluates private equity investments and investment strategies for the firm. Prior to co-founding the firm with Doug Hamilton in 1999, Cole served as a Vice President at Mellon Ventures, a $1.4 billion private equity partnership, where he structured venture capital, subordinated debt and leveraged buyout transactions across a broad range of industries. Prior to joining Mellon Ventures, Cole worked in the Investment Banking group of Legg Mason, where he focused on mergers and acquisitions for middle market and emerging growth companies.

Cole serves as a director of Capital Payments, LLC and acts as an observer to the board of Mezz Cap. He graduated magna cum laude from Pennsylvania State University with a Bachelor of Science degree in Finance. Cole is a co-founder of the New York Private Equity Network (NYPEN), the definitive private equity leadership and networking organization in New York City.

Ron Averett, President and Chief Executive Officer, IPP
Ron Averett brings more than 20 years of senior management experience to his role as President, Chief Executive Officer, and board member of IPP. Prior to joining IPP, Averett served as President, Chief Executive Officer, and board member of Princeton eCom. Under his guidance, Princeton eCom emerged as an industry leader in innovative electronic payment solutions for the banking and biller markets.

Before joining Princeton eCom, Averett served as Senior Vice President for Chevy Chase Bank's $5.2 billion credit card division and Senior Vice President for Advanta Corporation's $9.5 billion Gold Card portfolio. Averett began his financial services career at Citibank.

Averett also serves on the board of Billtrust, a leader in outsourced billing solutions headquartered in Jamesberg, New Jersey.

Robert E. Farina, Chief Executive Officer, Cybershifts
An accomplished executive with nearly 30 years of experience in successfully growing enterprise software and service businesses, Robert E. Farina is the Chief Executive Officer of CyberShift. Prior to joining Cybershift, he served Vice president of US Internetworking (now a part of AT&T) which at that time was the largest publicly held Application Service Provider (ASP) in North America. The sale of the software consulting firm EnableVision, which Farina founded and managed, led to his position at US Internetworking.

Farina also served as the Chief Executive Officer of a leading vertical market provider of enterprise software for the publishing industry, and as Vice President and General Manager of a human resources and payrolls systems provider. Farina began his career at Control Data's Business Information Services Division.

Farina, an active member of the Advisory Board of the Columbia University Graduate Program in Information Technology Management, is a graduate of the Wharton School of Business.

Robert Lisy, President and CEO, Check Vest Corporation
Robert Lisy is the President and Chief Executive Officer of Check Vest Corp-oration, a consulting firm for retail financial services and electronic payment providers. He has managed retail financial services and electronic payment processing for nearly 20 years.

From 2002 through 2006, Lisy was the Chief Marketing and Sales Officer of Vigo Remittance Corporation, then the third largest funds transfer company in the world. He conceived, developed and directed the company's strategic growth in the United States and abroad, tripling the annual YOY transaction growth rate and generating 45% revenue growth over a three year period. Vigo was successfully sold to First Data Corp in late 2005, returning a 90% IRR to the investors.

Prior to joining Vigo, Lisy co-founded Direct Express/Paystation America, an electronic walk-in bill payment processor and was integral to the effort to successfully sell the company to American Payment Systems, the largest processor of walk-in payments in the country. Lisy served as both Chief Operating Officer and a member of the Board of Directors during his four plus years with the company.

From 1991-1998 Lisy worked for Western Union in various executive level sales, marketing and operational positions. He was instrumental in the early development of Western Union's International Funds Transfer business, managing services that generated over $200 million in annual revenue. Lisy also served as Vice President of Biller Solutions for Princeton eCom.

He holds a Bachelor of Business Administration Degree in Finance and Economics from Cleveland State University.

Robert M. Pons, Senior Vice President of Capital Markets, TMNG
Robert M. Pons has over 25 years of senior level management experience including early stage ventures, Fortune 500 and turnaround companies.

Currently, he is Senior Vice President of Capital Markets for TMNG, a leading provider of professional services to the converging communications media and entertainment industries and the capital formation firms that support it. Prior to TMNG he was Chief Executive Officer of Uphonia/SmartServ Inc. a publicly traded firm in the wireless industry. Uphonia/SmartServ was completely recapitalized and repositioned under his leadership.

As an early pioneer in the competitive telecommunications industry, Pons served as a senior level executive working with both landline and wireless systems. Originating his telecommunications experience in 1980 at MCI, Pons opened MCI's New England markets, growing them from start-up to a $100 million division. He also served as a special advisor to the President of MCI during the company's highest growth years and was featured in the book On The Line — History of MCI.

In 1986, Pons was recruited by Sprint to manage its Northeast Sales division with over $750 million in revenue. During his tenure as Senior Vice President of Business Development for Geotek, a wireless carrier with licenses in 50 major markets, the company grew from a market cap of $25 million to $1.7 billion.

Pons has directly overseen financing transactions from $5 million to $100 million and has extensive experience in organizing start-ups. In addition to being a member of the board of IPP, he also sits on the board of Network1 Security Solutions (OTC:NSSI.OB).
